We Helped a Client Successfully Defend Against a Claim for His Exclusion from the Membership of a Limited Liability Company
Our firm successfully represented a client in a complex commercial dispute in which a claim was brought seeking the client’s exclusion from the membership of a limited liability company.
The plaintiff alleged that our client had caused significant harm to the company over a number of years, including in connection with the company’s management, transactions entered into by the company, and other business-related matters. On this basis, the plaintiff sought our client’s exclusion from the company.
Both the court of first instance and the appellate court dismissed the claim in its entirety and accepted all of our key arguments. The courts held that the exclusion of a company member is an exceptional legal remedy that may be applied only where substantial harm to the company has been proven. In this case, the plaintiff failed to provide sufficient evidence demonstrating that our client’s actions had caused such harm. The judgment has become final and binding.
The courts specifically emphasised that assumptions, suspicions, or general allegations are not sufficient grounds for excluding a person from a company. A party seeking the exclusion of a company member must prove not only the alleged misconduct, but also its actual and substantial impact on the company’s interests.
The courts concluded that the plaintiff had failed to prove either that the company had suffered substantial harm or that our client had intentionally or maliciously acted against the company’s interests. As a result, the claim for our client’s exclusion from the company was dismissed in full, and the plaintiff was ordered to reimburse our client’s legal costs.
